In this document, VM COMPACT IT & DESIGN S.R.L. may also be referred to as "VMWeb", "we", "the company" or "the website operator". Persons who access the website are referred to as "users", "visitors" or "potential clients", as applicable.
2. Acceptance of the terms
By accessing, browsing or using the vmweb.ro website, you confirm that you have read, understood and accepted this document. If you do not agree with these terms, you must stop using the website.
These terms govern the use of the website as an information and contact platform. The actual commercial relationships between VMWeb and its clients are governed by the accepted offer, the service agreement, the technical annexes, the orders, the invoices and/or other documents agreed separately between the parties.
3. Purpose of the website
vmweb.ro is a presentation website through which VMWeb shares information about services such as web design, website development, online store development, web apps and custom platforms, technical support, maintenance, SEO, online marketing, branding, graphic design, copywriting and other services related to the digital field.
The information published on the website is general and informative in nature. It does not automatically constitute a firm offer, a guarantee of results, individual consultancy or an obligation to provide a service until an offer is expressly accepted or a contract is signed.
4. Permitted use of the website
Users may access the website to obtain information, request a quote, submit a request through the contact form, subscribe to commercial communications, view the portfolio and interact with the published materials.
It is prohibited to use the website for:
- attempts at unauthorized access, aggressive scanning, cyberattacks or the exploitation of vulnerabilities;
- copying, reusing or automatically extracting the content without VMWeb's consent;
- transmitting content that is illegal, abusive, defamatory, fraudulent, malicious or that infringes the rights of other persons;

5. Requests for quotes and communications
Contact forms, e-mail messages, phone calls or messages sent through social networks do not, by themselves, create a contractual obligation for VMWeb. A request becomes an order only after the offer is expressly accepted, the commercial terms are confirmed and, where applicable, the advance payment is made or the contract is signed.
Users are responsible for the accuracy of the information they submit. VMWeb may request additional information to evaluate the project, estimate the costs, check feasibility or prepare a technical proposal.
6. Services, offers, prices and payments
VMWeb's services are customized digital and/or professional services, and prices may vary depending on the complexity of the project, features, volume, technology, delivery time, integration with external services, level of support and other specific requirements.
If prices, packages or commercial examples are displayed on the website, they are indicative in nature, unless expressly stated otherwise. VMWeb reserves the right to modify, update or withdraw the prices and offers displayed on the website.
Payment for the services is made in accordance with the offer, contract, invoice or instructions communicated to the client. Unless otherwise agreed, the provision of services may be conditional upon the payment of an advance or the full payment of an invoice issued by VMWeb.
7. Provision and acceptance of digital services
Digital services may be provided remotely, by e-mail, collaborative platforms, access to the client's website, online workspaces, project management systems or other agreed channels. The actual delivery of the results may consist, as applicable, of files, links, access to administration panels, source code, graphic materials, reports, strategies, configurations or implementations on the client's server.
The delivery times communicated depend on the client's timely provision of the necessary materials, feedback, access, approvals and information. Delays caused by the lack of these elements may shift the delivery schedule.
Unless otherwise provided in the offer or contract, acceptance of the services is made through written confirmation or through the client's actual use of the deliverables. The absence of a response within a reasonable time after delivery may be considered acceptance, to the extent permitted by law and by the applicable contractual documents.
8. Intellectual property
The content published on vmweb.ro, including the texts, images, graphic elements, interface, page structure, presentation materials, code, trade names, logos and branding elements belong to VMWeb or to its partners/suppliers, except where another owner is indicated.
It is prohibited to reproduce, distribute, modify, publish, republish, sell, rent, license, automatically copy or commercially exploit the website's content without VMWeb's written consent.
For projects carried out for clients, the rights to the deliverables are transferred or licensed only under the conditions set out in the offer, contract or annexes. Unless expressly provided otherwise, the transfer of rights to the deliverables is conditional upon full payment of the amounts due.
Licenses for third-party software, themes, plugins, fonts, stock photos, SaaS services, APIs or other external components are subject to the terms of the respective suppliers and are not automatically transferred to the client, unless expressly mentioned in the applicable offer or contract.
9. Portfolio, case studies and public materials
VMWeb may publish on the website examples of work, projects, service descriptions, case studies or educational materials. Where client projects are mentioned, publication is carried out in compliance with the applicable rights, the commercial agreements and any confidentiality obligations.
If a client considers that a public mention affects a legitimate right or falls under a confidentiality clause, they may request a review and, where applicable, the modification or removal of the material, by contacting VMWeb at the details indicated in this document.
10. Newsletter and commercial communications
Subscribing to the newsletter or to other commercial communications is voluntary. Users can unsubscribe through the mechanisms indicated in the messages they receive or through a request sent to VMWeb's contact address.
VMWeb will not consider commercial messages to be validly requested except to the extent that there is an adequate legal basis, such as the user's consent or an existing commercial relationship, while respecting the right to object/unsubscribe.
11. Links to external websites and services
vmweb.ro may contain links to third-party websites, social platforms, analytics services, scheduling tools, external portfolios or other resources. VMWeb does not control the content, security, availability or policies of these third parties and is not liable for the damages resulting from their use.
The use of external websites and services is subject to their own terms and policies.
12. Website availability and limitation of liability
VMWeb makes reasonable efforts to keep the website available and functional, but does not guarantee uninterrupted operation, the absence of errors, compatibility with any device/browser or the complete absence of technical risks.
VMWeb is not liable for interruptions, errors, data loss, vulnerabilities, delays or unavailability caused by hosting providers, internet services, cyberattacks, software updates, force majeure, user actions or other causes beyond the company's reasonable control.
To the extent permitted by law, VMWeb's liability for the use of the website is limited to direct, proven damages caused exclusively through VMWeb's fault. We are not liable for indirect losses, loss of profit, loss of opportunity, loss of data or indirect commercial effects resulting from the use of the website.

15. Applicable law and dispute resolution
This document is governed by Romanian law. Any disagreement regarding the use of the website will be resolved primarily amicably, by contacting VMWeb at the details indicated above.
If an amicable resolution is not possible, disputes will be referred to the competent courts in Romania, under the applicable law.
